Evolute Institute is de publieke merknaam van "Evolute Institute B.V.". In de Algemene Voorwaarden verwijst de naam "Evolute Institute" naar de rechtspersoon "Evolute Institute B.V.", handelend onder de naam Evolute Institute, alsmede haar vertegenwoordigers.

Algemeen overzicht

The use of evolute-institute.com (“Website”), including all materials presented herein and all online services provided by Evolute Institute B.V. (“Company,” “we,” “us”, “our”) is subject to the following Terms and Conditions. These Terms and Conditions apply to the material, content, online resources, and general informational services made available through the Website (“Services”). “Services” does not include participation in any Program, which is governed solely by the applicable CSA as described under “Scope; Relationship to the Client Service Agreement” below. These Terms and Conditions apply to all site visitors, customers, and all other users of the Website. By using the Website or Services, you agree to these Terms and Conditions, without modification, and acknowledge reading them.

Scope; Relationship to the Client Service Agreement

These Terms and Conditions govern your access to and use of the Website and the informational content and online resources made available through it. They do not govern participation in any paid program, retreat, or service offered by Evolute Institute, including the EvoShift Personal and Leadership Development Program (each a “Program”).

Participation in a Program is governed exclusively by the separate Client Service Agreement (“CSA”) entered into between you and Evolute Institute for that Program, together with any order form, appendices, and written arrangements referenced in it. Browsing the Website, submitting an application or enquiry, or having an exploration call does not by itself enrol you in a Program; enrolment takes effect only upon a signed CSA.

Where both these Terms and Conditions and a signed CSA apply, the CSA prevails to the extent the matter concerns Program participation, while these Terms and Conditions continue to apply to your use of the Website. Nothing in these Terms and Conditions limits, replaces, or overrides any right or obligation set out in a signed CSA.

Het gebruik van de Website en Diensten

Om toegang te krijgen tot de Website of deze te gebruiken, moet je 18 jaar of ouder zijn en de vereiste bevoegdheid hebben om deze Voorwaarden aan te gaan. Kinderen jonger dan 18 jaar mogen de Website niet gebruiken. Evolute Institute B.V. geeft geen verklaring of garantie dat de verstrekte informatie ("Content"), ongeacht de bron, volledig, nauwkeurig, up-to-date, betrouwbaar of vrij van fouten is. Evolute Institute B.V. wijst alle aansprakelijkheid af voor eventuele onvolledigheid, onjuistheid of fouten in de Content en behoudt zich het recht voor om fouten in beschrijvingen en prijzen te corrigeren vanaf.

Aanvraag voor gebruik van diensten

In order to use the Services, you may be required to complete an application form and to provide personal information about yourself including your details such as your full name, email address, postal address, date of birth and other personal information. You agree that any information that you provide to Evolute Institute B.V. will always be truthful, accurate, correct to the best of your knowlege, and current. You agree to not impersonate someone else or to provide any information or an email address that is not your own. We aim for all participants to have had an exploration call with one of our staff members prior to booking our Services. This call will take place via telephone or any other convenient telecommunication platform (e.g. Zoom). The call will not be recorded unless specifically requested and with your permission. The staff members of Evolute Institute may take notes during the call for later recollection, or for sharing with other relevant staff members. This section describes steps that may take place through or in connection with the Website. Acceptance of your application, your enrolment, and all terms of your participation in a Program — including payment, screening, cancellation, and refunds — are governed by the CSA and not by these Terms and Conditions.

Dienstweigering

We reserve the right to immediately suspend or terminate your access to the Website and the Services if you violate this intellectual property policy. Where you are a Program participant, any removal from a Program and any question of refund are governed by the CSA. We may at any time change or discontinue any aspect or feature of the Website or the Services. Acceptance or refusal of an application to participate in a Program, and any consequences of refusal, are governed by the CSA and not by these Terms and Conditions.

Betaling

Payment for participation in a Program — including price, invoicing, payment terms, discounts, cancellation, and refunds — is governed exclusively by the CSA and not by these Terms and Conditions. Evolute Institute reserves the right to offer sales or discounts on the full retail price of its Services without any obligation to compensate you if you paid a higher price

Wettige doeleinden

U mag de Website en de Diensten uitsluitend voor wettige doeleinden gebruiken. U stemt ermee in financieel verantwoordelijk te zijn voor alle aankopen die door u of iemand die namens u optreedt via de Website worden gedaan. U stemt ermee in de Website uitsluitend voor legitieme doeleinden te gebruiken en via de Website diensten of producten aan te schaffen. U stemt ermee in om via de Website geen materiaal te plaatsen of te verzenden dat de rechten van anderen schendt of inbreuk maakt op deze rechten, of dat bedreigend, beledigend, lasterlijk is, inbreuk maakt op publiciteits- of privacyrechten,  obsceen, vulgair, godslasterlijk of anderszins aanstootgevend is, of dat gedrag aanmoedigt dat een strafbaar feit zou vormen, aanleiding zou geven tot civiele aansprakelijkheid of anderszins in strijd is met enige wet.

Intellectuele eigendomsrechten op uw materialen

Wij claimen geen intellectuele eigendomsrechten op het materiaal dat je aan Evolute Institute B.V. verstrekt. Je behoudt het auteursrecht en alle andere rechten die je rechtmatig hebt op alle inhoud die je indient via de website of diensten. Inhoud die je indient bij Evolute Institute B.V. blijft van jou voor zover je daar wettelijke aanspraken op hebt. Je stemt ermee in om Evolute Institute B.V. te vrijwaren van en tegen alle claims, aansprakelijkheden en kosten die voortvloeien uit een potentiële of werkelijke verduistering van auteursrechten of handelsmerken of inbreuk die tegen jou wordt geclaimd. Door het plaatsen van materiaal op de Website, verleen je ons een wereldwijde, niet-exclusieve, onherroepelijke licentie om het materiaal te gebruiken voor promotie-, bedrijfsontwikkelings- en marketingdoeleinden.

Ons intellectueel eigendom

You agree that under no circumstances shall we be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or any other damages arising out of your use of the site or services. Additionally, we are not liable for damages in connection with (a) any failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay in operation or transmission, computer virus, or line or system failure; (b) third party theft of, destruction of, unauthorized access to, alteration of, or use of your information or property; and (c) loss of revenue, anticipated profits, business, savings, goodwill or data, regardless of our negligence, gross negligence, failure of an essential purpose and whether such liability arises in negligence, contract, tort, or any other theory of legal liability. The foregoing applies even if the Evolute Institute B.V. has been advised of the possibility of or could have foreseen the damages. In those jurisdictions that do not allow the exclusion or limitation of liability for the damages, our liability is limited to the fullest possible extent permitted by law. In no event shall the cumulative liability of Evolute Institute B.V. to you exceed the total purchase price of the services you have purchased from Evolute Institute B.V., and if no purchase has been made by you, the cumulative liability of Evolute Institute B.V. to you shall not exceed €100. This “Limitation of Liability” section applies to your use of the Website and the Services. Evolute Institute’s liability in connection with participation in a Program is governed by the CSA.

Nothing in these Terms and Conditions excludes or limits Evolute Institute B.V.’s liability to the extent such exclusion or limitation is not permitted by mandatory law, including liability for intent or conscious recklessness (opzet/bewuste roekeloosheid) and any other liability that cannot be excluded or limited under mandatory consumer law. Any limitation or exclusion in this section applies only to the fullest extent permitted by mandatory law and will be interpreted restrictively so as to comply with mandatory consumer protection rules.

Bronnen van derden

De Website en de Diensten kunnen links bevatten naar websites en bronnen van derden. Je erkent en gaat ermee akkoord dat wij niet verantwoordelijk of aansprakelijk zijn voor de juistheid, beschikbaarheid, inhoud of het beleid van websites of bronnen van derden. Vrijwaring

Je vrijwaart en stelt ons schadeloos voor alle verliezen, schade, schikkingen, aansprakelijkheden, kosten, lasten, beoordelingen en uitgaven, evenals vorderingen van derden en rechtszaken, met inbegrip van, maar niet beperkt tot, advocaatkosten, die voortvloeien uit een schending door jou van deze Voorwaarden of enig gebruik door jou van de Website of Diensten. U zult ons kosteloos de hulp bieden die wij vragen in verband met een dergelijke verdediging, met inbegrip van, maar niet beperkt tot, het verstrekken van informatie, documenten, dossiers en redelijke toegang tot u, zoals wij noodzakelijk achten. U zult geen regeling treffen voor een vordering van een derde partij of afstand doen van enig verweer zonder onze voorafgaande schriftelijke toestemming.

Geschillenbeslechting

Als je een probleem of geschil hebt over de Diensten, ga je ermee akkoord om eerst te proberen het geschil informeel op te lossen door contact op te nemen met Evolute Institute.

Gehele overeenkomst; verklaring van afstand

These Terms and Conditions do not supersede or affect any CSA, which constitutes the entire agreement between you and Evolute Institute in respect of the relevant Program. These Terms and Conditions constitute the entire agreement between you and Evolute Institute B.V. pertaining to your use of the Website and supersedes all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any of the provisions of these Terms and Conditions by Evolute Institute B.V. shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Evolute Institute B.V.

Toepasselijk recht

These Terms and Conditions shall be construed in accordance with, and governed by, the laws of the Netherlands as applied to contracts that are executed and performed entirely in the Netherlands. The exclusive venue for any proceeding based on or arising out of these Terms and Conditions shall be in the city of Amsterdam, Netherlands. Disputes arising out of or relating to participation in a Program are governed by the dispute resolution, jurisdiction, and governing law provisions of the CSA.

Overdracht van rechten en verplichtingen

Je mag je rechten en verplichtingen onder deze Voorwaarden niet toewijzen, delegeren, in sublicentie geven of anderszins overdragen. Elke overdracht, toewijzing, delegatie of sublicentie door jou wordt als ongeldig beschouwd.
